IT Lawyer / Legal Counsel (Diia City & International Law)

DATA.BET is expanding its Legal team and is looking for an experienced Legal Counsel with strong expertise in Ukrainian legislation, particularly in Diia City and employee reservation (military exemption) matters.

What you’ll be doing:

• Provide comprehensive legal support for the company’s Diia City residency;
• Monitor and ensure the company’s compliance with the requirements and eligibility criteria of the Diia City legal regime;
• Provide legal support in obtaining and confirming the status of a critically important enterprise, including preparation, review, and submission of documents for obtaining, extending, and confirming such status;
• Communicate with authorized state authorities regarding the determination of the company as a critically important enterprise;
• Provide legal support on employee reservation from military mobilization in accordance with applicable legislation;
• Draft and manage Gig-contracts, ensuring compliance with the special conditions, requirements, and reporting obligations of the Diia City legal regime;
• Draft, review, negotiate, and approve service agreements, software development agreements, confidentiality agreements, intellectual property rights assignment agreements, and other commercial and business contracts; prepare amendments, notices, claims, and other legal documents;
• Provide corporate legal support for the company’s activities, including preparation of shareholders’ resolutions and general meeting minutes, amendments to the charter and other corporate documents, and legal support for changes of directors, shareholders, registered office, share capital, and other corporate details;
• Provide legal advice and support to the business, including verbal and written consultations to management and company departments on matters of Ukrainian legislation;
• Systematically monitor changes in Ukrainian legislation, assess their impact on the company’s activities, and ensure timely updates to contracts, internal policies, procedures, and other company documents.

What we’re looking for:

• 4+ years of experience as a Legal Counsel/Lawyer, including at least 2 years in IT or in a Diia City resident company;
• Practical experience providing legal support to a Diia City resident, including residency requirements, eligibility criteria, the special legal regime, Gig-contracts, and reporting;
• Experience supporting the obtaining and confirmation of critically important enterprise status and employee reservation from military mobilization, with a strong understanding of current eligibility criteria and practical application;
• Understanding of the full process from A to Z — from collecting documents for establishing an LLC to the final stage of employee reservation;
• Experience drafting, reviewing, and negotiating commercial contracts (service agreements, software development agreements, NDAs, intellectual property rights assignment agreements), amendments, and claims;
• Experience preparing corporate documents, including shareholders’ resolutions, general meeting minutes, amendments to the charter, and changes to directors, shareholders, registered office, and share capital;
• Experience communicating with state authorities (Ministry of Digital Transformation, Territorial Recruitment and Social Support Centers, tax authorities, etc.).

Additional advantages (not required, but a plus):

• English at a level sufficient for professional communication [Upper-Intermediate+];
• International law and B2B contracts: drafting, reviewing, and supporting contracts in English (primarily under English law) with internal and external counterparties;
• Corporate & Compliance: day-to-day legal support of corporate matters, handling KYC / Due Diligence procedures, and preparing relevant reports for B2B cooperation;
• Employment law (multi-jurisdictional): handling employment and HR-related matters across different jurisdictions, including Ukraine, the EU, the UK, and the US.
